Welcome to ElectroPro ZapTime. These Terms of Service govern your access to and use of our scheduling platform, including our website, applications, and related services. Please read these terms carefully before using our services.
By accessing or using ElectroPro ZapTime (“Platform,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our services.
If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and you agree to these Terms on behalf of that organization.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use this Platform.
ElectroPro ZapTime provides scheduling, appointment management, client relationship management, and business operation tools for trade professionals, clinics, and educational institutions (“Services”).
We act as a technology platform to facilitate scheduling between Service Providers and their Clients. We are not a party to any transaction between Service Providers and Clients and are not responsible for the actual services provided, the quality of work performed, or the conduct of any user.
The Platform is provided on an “as-is” and “as-available” basis. We do not guarantee uninterrupted access and may modify or discontinue features at any time with reasonable notice.
To access certain features, you must create an account with accurate and complete information. You are responsible for:
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your contact information remains current
We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for extended periods.
Certain features require a paid subscription. By subscribing, you agree to:
• Pay all fees according to your selected plan
• Automatic renewal at the end of each billing cycle unless canceled
• Price changes with 30 days’ advance notice
• Non-refundable fees except as required by applicable law
All payments are processed through third-party payment processors (such as Stripe) and are subject to their terms of service. You are responsible for all applicable taxes, duties, and government assessments.
Service Providers may establish their own cancellation, rescheduling, and no-show policies through the Platform. Clients agree to review and abide by these policies when booking appointments.
The Platform may facilitate:
• Collection of deposits and cancellation fees
• Automated appointment reminders via SMS and email
• Waitlist management and rebooking
Service Providers are solely responsible for the policies they set and their enforcement.
You agree not to:
• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Transmit spam, unsolicited communications, or promotional materials
• Attempt to gain unauthorized access to our systems or other users’ accounts
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use automated scripts, bots, or scrapers to access or collect data
• Interfere with the security, integrity, or performance of the Platform
• Upload malicious code, viruses, or harmful content
• Impersonate any person or entity
• Harass, abuse, or harm other users
Violation of this policy may result in immediate account termination.
The Platform, including its design, features, code, and content, is owned by ElectroPro and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.
You retain ownership of the content you submit to the Platform (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and process such content solely to provide and improve the Services.
You represent that you have all necessary rights to the User Content you submit and that it does not infringe any third-party rights.
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.
For users subject to GDPR, CCPA, or similar regulations, we offer a Data Processing Addendum upon request. Service Providers are responsible for obtaining appropriate consents from their Clients for data collection and communications.
The Platform is not designed for storing Protected Health Information (PHI) under HIPAA unless you have executed a separate Business Associate Agreement with us.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless ElectroPro, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:
• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• The services you provide to Clients through the Platform
• Any dispute between you and your Clients
Either party may terminate this agreement at any time. You may cancel your account through the Platform settings or by contacting support.
We may suspend or terminate your access immediately if you:
• Violate these Terms
• Fail to pay applicable fees
• Engage in fraudulent or illegal activity
• Pose a security risk to the Platform
Upon termination, your right to use the Platform ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.
Any disputes arising from these Terms or your use of the Platform shall first be addressed through good-faith negotiations. If unresolved within 30 days, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
You agree to waive any right to participate in class action lawsuits or class-wide arbitration against ElectroPro.
Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property infringement or unauthorized access.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any legal proceedings shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in such courts.
We reserve the right to modify these Terms at any time. We will provide notice of material changes through the Platform or via email at least 30 days before they take effect.
Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform and cancel your account.
